These Terms of Use govern access to HireInnovative.com, its recruiting information, job listings, forms, resources, and related website features.
Important: These website terms do not create a recruiting engagement, employment relationship, or placement guarantee. A signed recruiting, fee, or service agreement controls a client engagement and prevails over these website terms if the documents conflict.
1. Acceptance of these Terms
The website located at https://hireinnovative.com/ (the “Site”) is owned and operated by Hire Innovative LLC (“Hire Innovative,” “Company,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms of Use (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Site.
Additional written terms may apply to a recruiting search, placement, candidate submission, communication program, or third-party service. A signed agreement between you and Hire Innovative controls the subject of that agreement.
2. Eligibility and site access
You must be at least 18 years old and legally able to agree to these Terms. If you use the Site for a company, law firm, healthcare organization, or other entity, you represent that you have authority to act for that entity.
We grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful personal or internal business purposes. We may change, restrict, suspend, or discontinue any part of the Site at any time.
3. Recruiting information and services
The Site provides information about recruiting, direct-hire search, candidate sourcing, screening, compensation, job opportunities, and related topics. Website content is general information. It is not legal, tax, medical, financial, career, or other professional advice.
Viewing a page, sending an inquiry, applying for a role, or communicating with us does not require Hire Innovative to accept a search, represent a candidate, submit a candidate, arrange an interview, or produce any hiring outcome.
Descriptions of our process, fees, timelines, guarantees, candidate availability, or results are illustrative unless included in a signed agreement. Search scope, fees, replacement terms, payment duties, ownership periods, and other client obligations are governed by the applicable signed recruiting or fee agreement.
4. Candidate applications and communications
When you submit an application, resume, or professional information, you represent that the information is accurate, current, and yours to provide. You agree not to submit confidential information belonging to another person or employer, false credentials, malicious files, or unnecessary sensitive information.
An application through the Site is generally an expression of interest in an opportunity represented by Hire Innovative. It is not an application for employment with Hire Innovative unless the listing expressly identifies Hire Innovative as the employer.
We may contact you to discuss role fit, experience, compensation, location, timing, employer details, and next steps. We do not send your resume or identifying information to a prospective employer without your consent. If you authorize a submission, the prospective employer controls its own interview, selection, background-check, accommodation, offer, and employment processes.
You may withdraw from consideration or ask us not to submit your information. You remain responsible for reviewing an employer’s terms and deciding whether an opportunity is suitable.
5. Employer and client inquiries
An employer inquiry, consultation request, pricing request, intake form, or discussion does not create an exclusive relationship, agency relationship, recruiting engagement, or duty to begin work. A recruiting engagement begins only when the required parties accept the applicable written agreement.
Employers are responsible for providing accurate role, compensation, work-arrangement, qualification, sponsorship, licensure, and benefit information. Employers are also responsible for lawful hiring practices, interview decisions, background checks, accommodations, offers, employment classifications, compensation, and compliance with employment and anti-discrimination laws.
Candidate information supplied by Hire Innovative is confidential and may be used only for the authorized hiring purpose. Client obligations concerning candidate ownership, introductions, fees, confidentiality, and hiring are set by the signed agreement.
6. Job listing terms
Job listings describe recruiting searches or hiring needs based on information available to Hire Innovative when the listing is prepared. Some employer names are withheld for confidentiality. A listing can be changed, paused, filled, canceled, or removed without notice.
Compensation ranges, benefits, schedules, work arrangements, duties, and qualifications are based on information available when the listing is prepared. They can vary by employer, experience, credentials, location, performance, and final offer. The employer’s written offer and policies control.
We do not guarantee that every applicant will receive a response, interview, offer, placement, or employment. We do not guarantee the continued availability, accuracy, or completeness of a third party’s opportunity.
7. Privacy, cookies, and electronic communications
Our Privacy Policy explains how we collect, use, disclose, and retain personal information, including information collected through cookies and similar technologies.
When you submit a form or application, you agree that we may contact you about that request, application, search, or related services using the contact information you provide. Marketing communications are subject to applicable law and available opt-out methods.
8. Acceptable use
You may not:
- Use the Site for an unlawful, fraudulent, deceptive, discriminatory, harmful, or abusive purpose.
- Submit false applications, impersonate another person, misrepresent authority, or use another person’s information without permission.
- Upload malware, malicious code, corrupted files, or content designed to interfere with the Site.
- Probe, scan, test, bypass, disable, or interfere with security, authentication, access controls, rate limits, or technical safeguards.
- Scrape, harvest, copy, or extract personal information, candidate information, or Site content through automated means without written permission.
- Use bots or automated systems in a way that creates unreasonable load, sends spam, or disrupts other users.
- Reverse engineer, decompile, frame, mirror, or create a competing database from the Site except where applicable law does not permit restriction.
- Infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights.
- Use candidate information for any purpose other than the authorized hiring evaluation.
9. Intellectual property and feedback
The Site and its text, design, graphics, logos, software, databases, selection, arrangement, and other content are owned by Hire Innovative or its licensors and protected by intellectual-property laws. Except for the limited right to use the Site under these Terms, no right or license is granted.
You may link to public Site pages in a fair and lawful manner that does not imply endorsement. You may not reproduce, republish, sell, license, or commercially exploit substantial Site content without written permission.
If you voluntarily provide feedback or suggestions about the Site or Services, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of your resume or confidential candidate information.
Copyright complaints should identify the protected work, the material at issue, its Site location, your contact information, a good-faith statement, and a statement under penalty of perjury that the notice is accurate and you are authorized to act. Send notices to admin@hireinnovative.com.
10. Third-party services and links
The Site may contain embedded forms, analytics, social media features, job resources, or links operated by third parties. We do not control and are not responsible for a third party’s website, content, security, availability, terms, or privacy practices. A link does not mean we endorse every statement, service, or product on the linked site.
Your use of a third-party service is governed by the terms and policies of that third party.
11. Disclaimers
We do not warrant that the Site will be uninterrupted, error-free, secure, current, or free of harmful components. We do not warrant any candidate, employer, job listing, compensation figure, hiring timeline, interview, offer, placement, or employment result.
Nothing on the Site creates an attorney-client, medical-provider, fiduciary, employment, partnership, joint-venture, franchise, or other professional relationship.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HIRE INNOVATIVE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES; OR DAMAGES ARISING FROM RELIANCE ON SITE CONTENT, A JOB LISTING, A THIRD-PARTY SERVICE, OR UNAUTHORIZED ACCESS.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HIRE INNOVATIVE FOR CLAIMS ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID HIRE INNOVATIVE SPECIFICALLY FOR ACCESS TO THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply where applicable law does not permit them. Liability under a signed recruiting or service agreement is governed by that agreement.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Hire Innovative and its owners, officers, employees, contractors, and agents from third-party claims, damages, judgments, liabilities, and reasonable costs arising from your unlawful use of the Site, your material breach of these Terms, content or information you submit without authority, or your infringement of another person’s rights. We may control the defense of a covered claim, and you agree to provide reasonable cooperation.
14. Suspension and termination
We may restrict or terminate Site access when we reasonably believe a person has violated these Terms, threatened the Site or another person, created legal risk, or used the Site in an abusive or unauthorized manner. Provisions that by their nature should survive will remain effective, including intellectual property, disclaimers, liability limits, indemnification, governing law, and general terms.
15. Texas law and venue
These Terms and disputes arising from the Site are governed by the laws of the State of Texas, without regard to conflict-of-law principles. These Terms do not require arbitration.
Any action arising from these Terms or the Site must be brought exclusively in the state courts located in Harris County, Texas, or the federal courts with jurisdiction over Harris County, Texas. Each party consents to personal jurisdiction and venue in those courts. Either party may seek appropriate injunctive relief in a court with jurisdiction to protect intellectual property, confidential information, security, or against unauthorized access.
This section applies only to website disputes. A signed recruiting, fee, employment, confidentiality, or other agreement may contain different governing-law or dispute terms, and those terms control that agreement.
16. General terms
Changes
We may revise these Terms by posting the updated version at this URL and changing the effective date. Changes apply prospectively when posted unless a later date is stated. Continued use after a change means you accept the revised Terms.
Severability and waiver
If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver.
Assignment
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Entire agreement and order of priority
These Terms and the Privacy Policy are the entire agreement concerning general Site use. They do not replace a signed recruiting, fee, service, confidentiality, or other agreement. For a conflict concerning the subject of a signed agreement, the signed agreement controls.
